Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you or the organization you represent ("Customer", "you") and BXM Transportation Company Inc, a California corporation with its principal place of business at 2210 Merced Ave, South El Monte, CA 91733, United States ("BXM", "we", "us").

They govern your access to and use of the BXM Freight Intelligence platform, the website at bxmtrading.com, our APIs, and any related support (together, the "Service"). By subscribing to, accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

BXM Freight Intelligence is a software-as-a-service application that lets subscribers query freight and logistics information, including shipment status and milestone history, motor carrier operating authority and safety records, lane rate benchmarks, and container and port status. The Service is delivered over the internet on a subscription basis. It is informational software; it is not a freight brokerage service, a carrier tender, an insurance product or a financial service, and nothing in the Service constitutes professional, legal or regulatory advice.

2. Accounts and eligibility

The Service is offered to businesses and to individuals acting in a business capacity. You must be at least 18 years old and able to form a binding contract. You are responsible for the accuracy of the registration information you provide, for keeping your credentials and API keys confidential, and for all activity that occurs under your account. Notify us at support@bxmtrading.com promptly if you believe your account has been compromised.

3. Subscriptions, fees and billing

Subscription plans, prices and included query allowances are published at bxmtrading.com/pricing. All fees are stated and charged in United States dollars (USD) and are exclusive of applicable sales, use or similar taxes, which will be added where required.

  • Recurring charges. Subscriptions renew automatically at the end of each billing period — monthly or annually, as selected at checkout — until cancelled. By subscribing you authorize us and our payment processor to charge your payment method on each renewal date.
  • Payment processing. Card payments are processed by Stripe, Inc. We do not receive or store your full payment card number. Your use of the checkout is also subject to Stripe's terms and privacy policy.
  • Statement descriptor. Charges appear on your statement as BXMTRADING.COM.
  • Overage. Queries beyond your plan's monthly allowance are billed at $0.06 per additional query on your next invoice. We notify you by email at 80% and 100% of your allowance.
  • Failed payments. If a charge fails we may retry it and may suspend access until the balance is settled. Accounts more than 14 days past due may be terminated.
  • Price changes. We may change subscription prices with at least 30 days' notice by email. Changes take effect at your next renewal; if you do not accept them, you may cancel before that date.

4. Cancellation and refunds

You may cancel at any time. Cancellation stops future renewals and your subscription remains active until the end of the period you have already paid for. Our full policy, including the circumstances in which we issue refunds, is set out in the Refund & Cancellation Policy, which forms part of these Terms.

5. Acceptable use

You agree not to, and not to permit any third party to:

  • resell, sublicense, or provide the Service to third parties as a substitute for their own subscription, except through the branded customer tracking pages we expressly provide;
  • scrape, bulk-export or systematically extract data other than through the documented API and within your plan allowance;
  • circumvent query metering, rate limits, authentication or other technical controls;
  • use the Service to violate any law, including transportation, sanctions, export control or privacy laws;
  • upload malicious code, or attempt to gain unauthorized access to the Service or to other customers' data;
  • use the Service to make decisions about an individual's employment, credit or insurance eligibility — the Service is not a consumer reporting agency product and must not be used for any purpose regulated by the Fair Credit Reporting Act.

We may suspend access immediately where we reasonably believe continued use presents a security, legal or operational risk.

6. Customer data and ownership

You retain all rights in the shipment references, carrier lists and other data you submit ("Customer Data"). You grant us a non-exclusive licence to host, process and transmit Customer Data solely to provide, secure and support the Service, and to produce aggregated and de-identified statistics that do not identify you or your counterparties.

We retain all rights in the Service, including the software, interfaces, documentation, and the compiled and normalised datasets we make available. No rights are granted except as expressly stated in these Terms.

7. Third-party and public data

The Service aggregates information from carriers, brokers, terminal operators, telematics providers and public regulatory sources. We present that information in good faith but we do not control it and cannot guarantee that it is complete, current or accurate. Where a source has not reported recently, we display the timestamp of the last confirmed update. You are responsible for verifying anything on which you place operational or commercial reliance, including operating authority and insurance status before tendering a load.

8. Service availability and support

We aim for continuous availability and target 99.9% monthly uptime, which is contractually committed only on the Enterprise plan. Planned maintenance is announced in advance where practicable. Support is provided by email Monday through Friday, 6:00am to 6:00pm Pacific Time, excluding US public holidays.

9. Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ESTIMATED TIME OF ARRIVAL, RATE BENCHMARK OR CARRIER RECORD WILL PROVE CORRECT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST FREIGHT, DEMURRAGE OR DETENTION CHARGES, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. These limitations do not apply to your payment obligations, to either party's indemnification obligations, or to liability that cannot be limited under applicable law.

11. Indemnification

You will defend, indemnify and hold harmless BXM and its officers, directors and employees from and against any third-party claim arising out of your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law.

12. Confidentiality

Each party may receive non-public information from the other. The receiving party will protect it with at least reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisers bound by comparable obligations, or as required by law after giving notice where legally permitted.

13. Term, suspension and termination

These Terms apply from the date you first access the Service until all subscriptions have expired or been terminated. Either party may terminate for material breach that remains uncured 30 days after written notice. On termination your access ends and, on written request made within 30 days, we will provide a one-time export of your Customer Data. After that period we may delete it in accordance with our Privacy Policy.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or in-product at least 30 days before they take effect, and the "Last updated" date above will change. Continued use after the effective date constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. Before filing, each party agrees to attempt in good faith to resolve the dispute by contacting the other in writing and conferring for 30 days.

16. General

These Terms, together with the Privacy Policy and the Refund & Cancellation Policy, are the entire agreement between the parties on this subject. If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
